Overview
Plaintiff, a Kroger shareholder, asked the company to include a proposal related to the company's Equal Employment Opportunity (EEO) policy in its proxy materials for a shareholder meeting. When Kroger refused and the Securities and Exchange Commission (SEC) supported Kroger's decision, Plaintiff sued, arguing that the exclusion violated their shareholder rights.

The proposal would have required Kroger to publish a report on the potential risks of excluding “viewpoint” and “ideology” from its written EEO policy. Its goal was to ensure Kroger did not discriminate against individuals with conservative views.
After Plaintiff sued, the company decided to include the proposal in its proxy materials, and shareholders voted against it.
On November 14, 2024, the court dismissed the case for lack of jurisdiction, agreeing with the SEC that the issue was moot since Kroger had ultimately included the proposal. Plaintiff has since filed a petition for rehearing before a full panel of judges.
